Terms of Service
Last updated 22 October 2026
1. Who these terms apply to
By using this website, creating an account or using the client dashboard, you agree to these terms. If you use the platform on behalf of a company, you confirm that you are authorised to do so. Formal contracting-entity details are provided in the applicable written agreement or on request.
2. Accounts
- Provide accurate information and keep it current.
- Keep your password confidential and do not share your account.
- Notify us promptly if you believe your account has been compromised.
- Accounts are for the named user or organisation; access may not be resold.
We may suspend an account where necessary to protect the service, other users, or where these terms are materially breached. Where reasonable, notice and an explanation will be given.
3. Inquiries, calls and proposals
Submitting an inquiry or booking a discovery call does not create a contract for project work. A binding engagement begins only when a written proposal or agreement is accepted. Published prices are starting points and are not an offer capable of acceptance without a written scope.
4. Project delivery
Each project is governed by its written scope, which states deliverables, exclusions, review rounds, timeline assumptions, payment milestones and client responsibilities. Changes outside that scope are handled as a scope change with a separate estimate and, where relevant, a revised timeline.
Timelines depend on timely client feedback, content, access and third-party approvals. Dates affected by client-side dependencies may be adjusted accordingly.
5. Payments and verification
- Payment milestones are defined in the written proposal.
- A payment proof is a PDF receipt uploaded for review. It is not a confirmation of payment.
- An administrator verifies the transfer independently. Only then is an invoice marked verified and a payment recorded.
- A rejected proof may be corrected and resubmitted. Repeated false or altered proofs may result in suspension.
- Third-party transaction fees, licences and infrastructure costs are separate unless the proposal states otherwise.
Whop is an intended payment boundary. No claim is made that Whop payments are active on a deployment unless the required credentials are configured and the flow has been tested.
6. Client materials and responsibilities
You are responsible for having the rights to content, logos, images, data and credentials you provide. You must not upload unlawful material, malware, or personal data you are not authorised to process. You are responsible for maintaining backups of content you supply outside the platform.
7. Intellectual property
On full payment of the relevant milestone, ownership of the agreed custom project deliverables transfers as stated in the written agreement, subject to third-party licences. Pre-existing tools, libraries, internal frameworks and know-how remain the property of their owners. Unless publication is approved in writing, client work and materials remain confidential.
The SIDOX® name, logo and this website’s design and content remain the property of SIDOX® and may not be copied or represented as your own.
8. Confidentiality
Both parties will take reasonable care to protect confidential information received during an engagement and use it only for the purposes of that engagement, except where disclosure is required by law.
9. Acceptable use
You must not attempt to access another user’s data, probe or bypass authorization, interfere with the availability of the service, scrape it at scale, or use it to distribute unlawful or harmful material. Security testing requires prior written permission.
10. Third-party services
The platform may depend on third-party hosting, database, email, storage or payment providers. Their availability and terms are outside our direct control. Integrations are only described as complete where they have been tested against the real provider.
11. Disclaimers and liability
The website is provided on an “as available” basis. To the maximum extent permitted by applicable law, we are not liable for indirect or consequential loss, lost profits, or loss arising from third-party outages or client-supplied content. Nothing in these terms excludes liability that cannot lawfully be excluded. Liability caps, if any, are stated in the written project agreement.
12. Termination
Either party may terminate a project as provided in the written agreement. On termination, fees for work performed and committed costs remain payable. Account access may be closed after a reasonable export period, subject to legal retention obligations.
13. Governing law
The governing law and jurisdiction are stated in the written agreement for the engagement. Where no agreement exists, mandatory consumer or local law applies. These terms are not intended to deprive any party of mandatory legal protections.
14. Changes
These terms may be updated. The revised version will be published here with a new date. Continued use after a material change constitutes acceptance where permitted by law.
